1. Agreement to Terms

By accessing or using Civic SOS ("Service"), you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access the Service.

2. Description of Service

Civic SOS is an emergency communications platform that enables organizations to send SMS text messages, automated voice calls, and emails to their contacts. The Service is designed for legitimate emergency notifications, alerts, and organizational communications.

3. Account Registration

To use the Service, you must:

• Be at least 18 years old
• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use

4. Acceptable Use Policy

You agree NOT to use the Service to:

• Send spam, unsolicited messages, or commercial advertising
• Harass, threaten, or abuse others
• Send false emergency alerts or misleading information
• Violate any applicable laws or regulations
• Transmit malware or harmful content
• Impersonate others or misrepresent your affiliation
• Interfere with or disrupt the Service

5. TCPA Compliance

You are solely responsible for compliance with the Telephone Consumer Protection Act (TCPA) and all other applicable telecommunications laws.

By using the Service, you represent and warrant that:

• You have obtained proper consent from all recipients before sending messages
• Your contact lists contain only individuals who have agreed to receive communications from you
• You will honor all opt-out requests promptly
• You will not send messages to numbers on the National Do Not Call Registry (unless exempt)

Civic SOS is not responsible for your compliance with TCPA or any fines, penalties, or legal actions resulting from your use of the Service.

6. Subscription Plans & Billing

Billing Terms:

• Subscriptions are billed monthly in advance
• All fees are non-refundable
• You may cancel your subscription at any time; cancellation takes effect at the end of your current billing period
• If you exceed your plan's contact limit, you will be prompted to upgrade

7. Service Level Agreement

We target 99.99% uptime for the Service. In the event of downtime exceeding this target, you may be eligible for service credits:

Monthly Uptime	Credit
99.0% - 99.99%	10% of monthly fee
95.0% - 98.99%	25% of monthly fee
Below 95%	50% of monthly fee

Credits must be requested within 30 days of the downtime event and are applied to future billing, not refunded.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND.

We do not guarantee that:

• Messages will be delivered to all recipients
• Messages will be delivered within any specific timeframe
• The Service will be uninterrupted or error-free
• Carrier networks will be available at all times

Message delivery depends on factors outside our control, including carrier networks, recipient device status, and network congestion.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CIVIC SOS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, data, or business opportunities
• Personal injury or property damage
• Damages resulting from undelivered or delayed messages
• Damages resulting from service interruptions

Our total liability for any claims arising from your use of the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Civic SOS, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any laws, including TCPA
• Your infringement of any third-party rights

11. Termination

We may terminate or suspend your account immediately, without prior notice, for:

• Violation of these Terms
• Suspected fraudulent or illegal activity
• Non-payment of fees
• At our sole discretion for any reason

Upon termination, your right to use the Service ceases immediately. We may delete your data after termination in accordance with our data retention policies.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or by posting a notice on the Service. Continued use of the Service after changes constitutes acceptance of the new Terms.

13. Governing Law

These Terms shall be governed by the laws of the State of Oregon, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Oregon.
